Sakana AIは、日本発でグローバルにAIの基礎研究と応用開発を推進するスタートアップです。最先端のAI研究を大企業・金融機関・公共セクターへ実装するフェーズに入り、取引の規模も種類も急速に広がっています。
この局面で法務が果たす役割は、リスクを止めることではなく、事業が踏み込める範囲を見極めて前に進める道筋をつくることです。前例のない技術と前例のない取引が同時に走るため、既存のひな形をあてはめるだけでは判断できない論点が日常的に発生します。
法務責任者として、契約法務・コーポレート法務・知的財産・リスク／コンプライアンスを担当領域とし、既存の法務メンバーとともにチームとして機能する体制をつくっていただきます。自ら重要案件のレビューと交渉を担いながら、レビュー基準・ひな形・ナレッジを整備し、法務全体の品質とスピードを引き上げる役割です。
本職務はフルタイムで、東京オフィスを拠点とします。日本語での流暢なコミュニケーションを必須とし、英文契約の実務および社内メンバー、海外カウンターパートとのやり取りのため、英語での業務遂行能力を求めます。
役割と責任
- 顧客・パートナー・調達・業務委託などの各種契約について、ドラフト・審査・交渉をリードする（英文契約を含む）
- 事業部門（Applied / Product / R&D）と案件の初期段階から並走し、契約ストラクチャーそのものに法的観点を織り込む
- 株主総会・取締役会の運営、登記、資本政策・資金調達に関する法務対応を担う
- 研究成果・モデル・データ・OSSライセンスの取り扱い方針を整備し、特許・商標の出願戦略を外部事務所と推進する
- 社内規程の整備・運用、個人情報保護、輸出管理・安全保障貿易管理などのコンプライアンス体制を構築・運用する
- 国内外のAI関連規制の動向を継続的に把握し、事業判断に必要な形で実務へ落とし込む
- 紛争・外部照会への対応、外部弁護士事務所の起用とマネジメントを行う
- 法務メンバーをマネジメントし、レビュー基準・ひな形・ナレッジの整備を通じてチームの品質と生産性を高める
- 契約・法務プロセスを標準化し、生成AIの活用を含む効率化を推進する
応募資格およびスキル（Must）
- 事業会社のインハウス法務または法律事務所での企業法務実務経験5年以上
- 英文契約を含む契約のドラフト・審査・交渉を単独で完遂した経験
- 事業部門に対してリスクを具体的に説明し、実行可能な選択肢を提示できること
- 日本語：ネイティブレベル／英語：契約実務および業務コミュニケーションに支障のないレベル
- 生成AI（LLM・AIエージェント等）を法務業務に活用することへの関心
歓迎要件（Nice to Have）
- 日本の弁護士資格、または外国法事務弁護士としての登録
- スタートアップまたは急成長フェーズの組織での、法務機能の立ち上げ・体制強化の経験
- 金融機関・公共／防衛セクター向け取引の法務経験（調達手続、入札、情報保全等）
- IT／ソフトウェア・データ・AI領域の法務経験（ライセンス、データ利用許諾、モデルの権利関係等）
- 知的財産（特許・商標）実務、または知財戦略の立案経験

Head of Legal
Sakana AI is a Tokyo-based startup advancing both foundational AI research and applied development for a global audience. As we bring frontier AI research into large enterprises, financial institutions, and the public sector, both the scale and the variety of our transactions are expanding quickly.
At this stage, the job of legal is not to stop risk but to find how far the business can go and build the path to get there. Unprecedented technology and unprecedented deals move at the same time, so questions come up daily that cannot be resolved by applying an existing template.
As Head of Legal, you will own commercial contracts, corporate legal matters, intellectual property, and risk and compliance, and build a functioning team together with our existing legal members. You will personally handle review and negotiation on key matters while establishing the review standards, templates, and knowledge base that raise the quality and speed of legal work overall.
This is a full-time role based in our Tokyo office. Native-level Japanese is required. Working proficiency in English is also required, as you will handle English-language contracts and work with non-Japanese employees and overseas counterparties.
Roles and Responsibilities
- Lead drafting, review, and negotiation of contracts with customers, partners, vendors, and contractors, including English-language agreements.
- Partner with business teams (Applied / Product / R&D) from the earliest stage of a deal so that legal considerations shape the contract structure itself.
- Handle shareholder and board meeting operations, corporate registrations, and legal matters related to capital policy and fundraising.
- Establish policies for handling research outputs, models, data, and OSS licenses, and drive patent and trademark strategy with outside counsel.
- Build and operate compliance programs, including internal policies, personal data protection, and export control and security trade control.
- Track AI-related regulatory developments in Japan and abroad, and translate them into practical guidance for business decisions.
- Manage disputes and external inquiries, and select and manage outside counsel.
- Manage legal team members and raise team quality and productivity through review standards, templates, and shared knowledge.
- Standardize contract and legal processes, including the use of generative AI to improve efficiency.
Qualifications and Skills (Required)
- 5+ years of corporate legal experience, in-house at a company or at a law firm.
- Track record of independently drafting, reviewing, and negotiating contracts, including in English.
- Ability to explain risk concretely to business teams and present workable options.
- Native-level Japanese, and English sufficient for contract work and day-to-day business communication.
- Interest in using generative AI (LLMs, AI agents) in legal work.
Qualifications and Skills (Preferred)
- Qualification as an attorney in Japan (bengoshi), or registration as a registered foreign lawyer (gaikokuho-jimu-bengoshi).
- Experience building or scaling a legal function at a startup or high-growth organization.
- Legal experience with financial institutions or the public sector and defense (procurement procedures, tenders, information security requirements).
- Legal experience in IT/software, data, or AI (licensing, data use permissions, rights in models).
- Hands-on intellectual property experience (patents, trademarks) or IP strategy planning.
- Practical experience with personal data protection, export control, or security trade control.
- Experience managing a small team.
